Article 1 (Application of These Terms)
- These Terms set out the conditions for using the music distributed by orz Records (the "Label") on orzrecords.com (the "Site"). That music is referred to below as the "Tracks."
- By downloading a Track, you are deemed to have agreed to these Terms.
- The official text of these Terms is the Japanese version.
Article 2 (What You Can Do — Scope of the License)
- The Label grants you a free of charge, non-exclusive license to use the Tracks on the following conditions:
- Use as background music or sound effects in content such as videos, live streams, gameplay commentary, and podcasts
- Use by individuals or companies, for commercial or non-commercial purposes (including monetization through advertising revenue, memberships, tips, and the like)
- Editing to fit your content, such as cutting, adjusting the volume, adding fades, and changing the tempo
- No restriction on territory, on how long you use the Tracks, or on the number of works in which you use them
- Crediting the Label is optional (example:
BGM: orz Records (orzrecords.com)).
- Even if the Label stops distributing a Track, you may continue to use any Track you downloaded while it was being distributed, on the conditions set out in these Terms.
Article 3 (What You Cannot Do — Prohibited Acts)
The following acts are prohibited:
- Redistributing or selling the Tracks themselves (including file sharing, reposting, and including them in asset or stock music collections)
- Registering a Track (including any part of one or any modified version) as your own music with a distribution service or with a rights management system such as Content ID
- Re-uploading a Track as the main content (for example, a video that simply plays the Track, or a background-music compilation for studying or working)
- Using the Tracks in content that violates laws or public order and morals, or that promotes discrimination, defamation, or illegal activity
- Using a Track title, or the "orz Records" name or logo, as your own brand or product name (using them as a credit is not covered by this prohibition)
- Using the Tracks as a dataset for AI training, or supplying them for AI training by a third party
Article 4 (Ownership of Rights)
- The copyright and the master recording rights in the Tracks belong to the Label (or to its operator). The Tracks are not "rights-free" in the sense that copyright has been waived; they are licensed to you free of charge under these Terms.
- The Label may entrust part of the administration of the copyright in the Tracks to a copyright management organization (such as NexTone). Even where it does, the license granted under these Terms is unchanged.
Article 5 (About YouTube Content ID)
- The Label may register the Tracks with YouTube Content ID in order to protect its rights. Because of the way that system works, a copyright claim (a Content ID claim) may therefore appear automatically even on a video that uses the Tracks within the scope of these Terms.
- Such a Content ID claim does not cause your video to be taken down, does not result in a penalty on your channel, and does not affect your monetization eligibility.
- If a Content ID claim appears on a use that is within the scope of these Terms, please file a dispute through YouTube's dispute process. The Label will review it and release the claim, in principle within 3 business days. Once the claim is released, revenue for that video is credited to the uploader in accordance with YouTube's own rules.
- Use of the Tracks in short-form video (such as YouTube Shorts) does not affect the uploader's revenue share.
Article 6 (Disclaimer)
- The Tracks are provided as is. The Label gives no warranty as to their fitness for any particular purpose, or as to how third-party platforms will treat them (whether monetization is permitted, whether a claim occurs, and similar matters).
- The Label is not liable for any damage incurred by a user in connection with use of the Tracks, except where the damage is caused by the Label's intent or gross negligence.
Article 7 (Revision of These Terms)
- The Label may revise these Terms. Revised Terms take effect when they are posted on the Site.
- A revision takes effect for the future only. Tracks downloaded before a revision continue to be governed by the Terms that were in effect at the time of download.
Article 8 (Governing Law and Jurisdiction)
These Terms are governed by the laws of Japan. The Saitama District Court shall have exclusive jurisdiction as the court of first instance over any legal dispute relating to these Terms.
